Terms of Service

These Terms of Service ("Terms") govern access to and use of ReadyWhen websites, applications, scheduling pages, communications, and related services (collectively, the "Service"). ReadyWhen is operated by Common Strata, LLC ("Common Strata," "ReadyWhen," "we," "us," or "our").

By accessing or using the Service, a person or organization ("you") agrees to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Service

ReadyWhen helps hosts create scheduling links and helps invitees find and book meeting times. The Service may include account management, public booking pages, availability settings, calendar connections, meeting reminders, notifications, support tools, analytics, billing, and other scheduling-related features.

ReadyWhen is not a law firm, medical provider, financial institution, employment agency, payment processor, or regulated professional advisor. ReadyWhen provides scheduling software, not professional, legal, tax, medical, financial, compliance, or employment advice. ReadyWhen does not currently market itself as HIPAA, SOC 2, FedRAMP, or other regulated-compliance-ready software.

2. Accounts and Eligibility

You must be at least 18 years old, or the age of majority where you live, to create a ReadyWhen account. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your login credentials. You are responsible for all activity under your account and must promptly notify us if you believe your account has been compromised.

3. Hosts and Invitees

Hosts use ReadyWhen to publish scheduling pages, configure availability, connect calendars, and receive bookings. Invitees use ReadyWhen to view scheduling pages, select times, provide booking details, and manage meetings.

Hosts are responsible for their public profile, event descriptions, booking questions, meeting locations, availability, reminders, cancellation policies, connected services, notices, consents, and use of invitee information. Hosts are also responsible for deciding whether ReadyWhen is appropriate for their industry, workflow, client relationship, and compliance obligations.

4. Calendar and Integration Permissions

If you connect a third-party service such as a calendar provider, you authorize ReadyWhen to access and process information from that service as needed to provide the requested functionality. ReadyWhen is designed to avoid exposing private external calendar event details to invitees. Third-party services are governed by their own terms and privacy policies.

5. Acceptable Use

  • Do not violate laws, contracts, privacy rights, or IP rights.
  • Do not send spam, phishing, malware, or deceptive content.
  • Do not harass, threaten, abuse, discriminate, exploit, or harm anyone.
  • Do not disrupt, reverse engineer, scrape, overload, or bypass security controls.
  • Do not probe or test vulnerabilities except through an authorized security program.
  • Do not misrepresent identity, affiliation, availability, endorsement, or meeting purpose.
  • Do not use the Service for unlawful surveillance, data brokerage, credential harvesting, or unauthorized enrichment.
  • Do not resell or provide the Service as a competing product without written permission.

If you use ReadyWhen in a regulated or sensitive context, you are responsible for confirming that your use is lawful and appropriate. ReadyWhen does not promise that the Service satisfies industry-specific requirements unless we enter into a separate written agreement that expressly says so.

6. User Content and Data

"User Content" means information, text, files, profile details, event descriptions, booking questions, invitee responses, meeting details, and other materials submitted to or configured in the Service by you or your invitees.

You retain ownership of your User Content. You grant ReadyWhen a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, modify for formatting or technical purposes, and otherwise use User Content as needed to provide, secure, support, and improve the Service.

7. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. Hosts using ReadyWhen with invitees are responsible for their own privacy notices, lawful bases, consents, data-subject request workflows, retention practices, and compliance obligations for their relationships with those invitees.

8. Beta, Trials, and Product Changes

ReadyWhen may offer beta, preview, experimental, free, trial, or early-access features. Those features may be incomplete, change without notice, or stop working. We may add, change, limit, suspend, or discontinue features at any time.

9. Fees, Billing, and Paid Features

ReadyWhen is expected to launch as a free soft-launch product, with paid tiers planned later. Some future features may require payment. Pricing, plan limits, billing cycles, taxes, refunds, cancellation rules, and renewal terms will be disclosed when paid tiers are introduced.

10. Intellectual Property

ReadyWhen, Common Strata, the Service, software, designs, logos, trademarks, trade dress, documentation, and other materials we provide are owned by ReadyWhen, Common Strata, or our licensors. These Terms do not transfer ownership of the Service to you.

11. Confidentiality

If you receive non-public ReadyWhen information, including beta information, security details, roadmap information, pricing terms, credentials, or technical materials marked or reasonably understood as confidential, you must protect it and use it only for the purpose for which it was provided.

12. Security

We work to protect the Service, but no system is perfectly secure. You must use the Service responsibly, keep credentials secure, and promptly notify us of suspected vulnerabilities or unauthorized access. Security reports can be sent to security@readysetwhen.com or security@commonstrata.com.

13. Suspension and Termination

You may stop using the Service at any time. We may suspend, limit, or terminate access if you violate these Terms, your use creates risk, payment is overdue, we are required to do so by law or a third-party provider, or continuing to provide the Service is no longer practical.

14. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, ReadyWhen disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

15. Limitation of Liability

To the fullest extent permitted by law, ReadyWhen and Common Strata will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost data, goodwill, service interruption, or cost of substitute services.

To the fullest extent permitted by law, ReadyWhen's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid to ReadyWhen for the Service in the three months before the event giving rise to the claim or USD $100.

16. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless ReadyWhen, Common Strata, and their officers, directors, employees, contractors, agents, affiliates, successors, and assigns from claims, damages, liabilities, losses, costs, and expenses arising from or relating to your use of the Service, your User Content, your scheduling pages or invitee relationships, your violation of these Terms or applicable law, your infringement or violation of another person's rights, or your use of third-party services connected to ReadyWhen.

17. Disputes, Governing Law, and Venue

Please contact us first if you have a concern. Most issues can be resolved without a formal dispute.

These Terms and disputes arising from them or the Service will be governed by the laws of Ohio, without regard to conflict-of-law principles. Subject to any rights you may have under applicable consumer law, the state and federal courts located in Ohio will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice as appropriate for the Service or as required by law. Continued use of the Service after updated Terms become effective means you accept the updated Terms.
